Outline of Final Research Achievements

This study examines teh strucure of interest when a company issues its new stock. In this study, reporter analyze case laws and accademics arguements on this topic. On the other hand, reporter tried to compare legal theory between the new share issue and M&A.

本研究により、明らかになった事項により、募集株式の発行に係り、今後実務的なプロセスについて、従来の実務とは異なる形での提言が可能となり得る成果を得ることができた。すなわち、会社取締役の利害関係を分析することにより、募集株式の発行に係る価格決定プロセスについても、会社取締役に一定のプロセスを要求することが可能と考え得ることが明らかになった。このようなアプローチは、会社法改正後の議論の蓄積によって得られた視座であり、今後より詳細な場面について検討することで、実務に影響を与え得るものと思われる。
