In this study, I analyzed legal issues related to decision-making by bondholders in a situation where a bond issuer falls into financial distress and needs to undergo financial restructuring. Specifically, I considered the advantages and disadvantages of individual consent rule and voting rules. I also examined how corporate bonds should be managed in relation to the financial restructuring.
