| Outline of Research at the Start |
本研究は、米国およびカナダを対象国とした比較法的分析の手法や、法の経済分析の立場に依拠した規範的分析の手法等を用いて、債務超過ないし倒産企業の取締役等に対しても十分な（すなわち、彼らが責任リスクに怯えることなく経営上の意思決定を行い得るだけの）保護を提供できるような、わが国における「最適な」法制度の在り方を明らかにすることを目的とするものである。

This research explores what new rules might be useful to appropriately manage and mitigate the risk of directors' liability (to creditors and other third parties) in the event of corporate insolvency or bankruptcy.

わが国の会社法上、取締役は企業の債務超過ないし倒産局面において（平時に比して）より大きな責任リスクに晒されていると考えられる。本研究は、それら局面における取締役の責任を適切に減免するための複数のツールを提示するものとして、学術的意義を有する。
