In this research, I provided not only a detailed introduction to legal rules adopted in takeover situations in foreign countries, especially in the US, but also analyzed theories about legal rules in takeover situations there. In doing so, I examined necessary requirements for effectively-functioning legal rules in takeover situations. In addition to that, I analyzed whether these requirements are just as valid for takeover situations in Japan, and eventually I proposed preferable legal rules in takeover situations in Japan.
