Outline of Research at the Start

今日の閉鎖会社は多様化しているにもかかわらず、従来の会社法学では、「閉鎖会社」という一つの概念の下で研究され、「閉鎖性」が抽象的に捉えられていた。そこで、本研究では、閉鎖会社概念の実質をどのようなものとして捉えるべきなのか、それを踏まえると会社法が閉鎖会社をどのように規律するべきなのかを明らかにするために、経済学や経営学の研究を参照しつつ「閉鎖性」をどのように捉えるべきなのかを検討したうえで、具体的なトピックの検討を通じて閉鎖会社法制としてどのようなものが望ましいのかを検討する。本研究は、閉鎖会社に関する基礎的な分析によって閉鎖会社法制に関する研究の理論的基盤を提供することを目指す。
