Outline of Research at the Start	近時、「企業グループにおけるガバナンス」が、経営実務においても、また法理論や経営学理論等においても重要な課題として指摘されている。しかしながら、そこでの対象となる「企業グループ」とはどこまでの範囲の会社を指すのか明確でなく、そうであるがゆえに、どのようなことをすべきかが必ずしも明確ではない状況にあると言える。本研究は、対象となる会社の範囲を明確にしたうえで、隣接諸学や既存ルール（法ルールのみならずソフトローを含む）による諸規律を、「会社はそれぞれが独立した法的主体である」という会社法の大原則の観点から再検証し、あるべきグループガバナンスの規範を定立することを目的とする。
