Outline of Research at the Start

本研究は、2021 年以降の裁判例と経済産業省「企業買収における行動指針」（2023年8月31日）〔以下「企業買収行動指針」〕を踏まえて、買収防衛策の発動が認められる場合とその限界を明らかにする。特に、株主総会の承認を経ても発動を認めるべきではない場合と、反対に取締役会限りで発動が認められる場合に注目して両方の限界を探る。この中では、アクティビストに対する防衛策の当否をめぐる理論的根拠も検討する。
