Outline of Research at the Start

本研究は、小規模閉鎖会社において生じる少数株主の締出しに関し、現行法制の下でどのような法的規律が望ましいかを明らかにすることを目的とする。特に、従来軽視されてきた少数株主が有する「私的利益」の保護と、会社側の事業継続の合理性との均衡を図る観点から、法理論的な解釈および立法論的提案を行う。米国・英国における比較法的考察を踏まえつつ、日本の判例および学説の展開を分析することで、少数株主の締出しが企業経営に与えるリスクやその回避方法を検討し、法的に妥当な規律の構築を図る。先行研究では十分に論じられていない領域に踏み込むことで、わが国における会社法学の深化に資する新たな視座を提供する。
