Academic Significance and Societal Importance of the Research Achievements

我が国では、組織再編行為について、訴訟によってのみ、事後的に、一律にその効果を否定する形成無効の仕組みが用意されているが、それは、組織再編行為の多様性に照らすと、関係者間の利害調整を適切に安定的に行える仕組みではない。本研究は、そのような仕組みの限界を明らかにし、瑕疵ある組織再編行為について、より柔軟に組織再編行為自体やその効果として生じる法律変動の効力を扱う可能性を検討した上で、様々な提言を行うものであった。
