| Research Abstract |
This study project has included two main themes. Firstly, I studied about the case that directors or officers should be liable in related to their mismanagement or to failure to see or monitor their corporations. Secondly, I studied about Corporation's liability to the shareholders. I have thought the latter problem especially has been more important from the aspect of compensatory function included in liability regime for directors and officers. And, I have obtained some results about these two themes.
