Research Abstract |
The purpose of this study is finding any approach for socially-sound management of companies from company(corporate) law-or corporate governance. perspective. Companies have to take care of the interest of their stakeholders when they are managed and among all employees are the very important for their companies going well. This study focuses on the liability of the directors(and auditors) for employees on s. 423 Japanese Company Law. It brings to a temporary conclusion that the liability system may encourage company management to take care of the interest of employee as well as their shareholder.
