| Research Abstract |
It has been able to clarify the attribute of the Brazilian Company Law (“BCL”) through this research. Especially, the provisions on the prohibition of abuse of powers of the controlling shareholders are the unique to the BCL, which were enacted in light of the social reality in which the mighty foreign capitals had been dominating the Brazilian companies. The details of the afore-mentioned provisions have been introduced for the first time to our country by this research. Moreover, the Brazilian Capital Market Law (“CML”) has rarely been studied in Japan until now. As this research takes the lead of the study of the CML, it is desirable the continued efforts of the investigation.
