Outline of Final Research Achievements

Because of the criticism of short-termism, many countries consider to introduce of the measures to promote medium to long term investment. One of these measures is a tenure voting which is a voting scheme wherein the investor voting rights increase with the length of time that they hold the shares.
In US,The LTSE was made the adoption of tenure voting a condition for listing at the beginning of the plan. In Europe, at the stage of the proposed revision, there was a provision in the Shareholders' Rights Directive requiring each country to adopt preferential measures for medium- to long-term shareholders. In France and Italy, there are preferential measures for medium- to long-term shareholders, such as the enactment of laws granting twice as many voting rights to long-term shareholders.
This study is a comparative study of preferential measures for long-term shareholders in various countries after the financial crisis.

Academic Significance and Societal Importance of the Research Achievements

株式投資における行き過ぎた短期主義への批判から長期保有株主に対する優遇策導入が議論されている。フランスのフロランジュ法に見られるような、長期に保有する株式に複数の議決権を付与するtenure　votingの制度は、偏った短期主義傾斜への歯止めとなる策の一つであると考えられる。
しかし、長期保有株主優遇策の導入には賛否があり、今後も議論は継続すると考えられる。フランスやイタリアのように法制する場合、アメリカのアフラックのように各企業が個別の策として導入する場合など今後も検討されるであろう。どのような制度を設計するかに際し、本研究がその一助になるのではないかと考える。
