Outline of Final Research Achievements

Under the Companies Act, a company can reduce part of the Liability of directors for damages to the company (Articles 425~427 of the Companies Act, the "Liability Reduction Rules"). This study examines an important interpretation of the Liability Reduction Rules through a comparison with its model laws, the US laws. Finally, it will examine the necessity and possibility of restructuring the Liability Reduction Rules and attempt to propose desirable rules.

Academic Significance and Societal Importance of the Research Achievements

本研究は、責任軽減制度に関して、米国法と日本法の近時の学説・裁判例を整理した点において学術的意義を有すると考えられる。また、本研究で示した解釈論は、責任に関する事前の予測可能性を高め、取締役が効率的で果敢な経営判断を行うことに資すると考えられる。そして、取締役のみならず、監査役等その他の役員の責任軽減に関する議論に対しても、理論上の基礎を提供するものとなっている点において、学術界のみならず実務界にとっても社会的意義が存すると考えられる。
