Research Abstract

米国における独立取締役制度の展開を研究し、同制度が今日に至るまでの歴史的経緯およびその背後にある思想的背景を明らかにした。同制度が維持・強化され今日の米国コーポレート・ガバナンスの中心的制度となっているのは、独立取締役を大規模公開会社・投資会社の取締役会構成員とすることにより取締役会を民主的な機構にしようとの考えがあり、そのような考えの背後には、少人数の人間が株式会社制度を濫用することにより、大多数の人間が少数の人間に従属する事態が生ずることに対する危惧感があるように思われる。
